When buying an apartment, a plot of land or other real estate, the most common questions are: I have paid the money — when do I become the owner? Can a sale be made under a power of attorney? What is the point of writing a penalty into the contract? In this article we answer these questions in plain language based on the Civil Code of the Republic of Azerbaijan.
When does ownership pass when you buy an apartment?
Under the Civil Code, ownership of immovable property passes to the acquirer from the moment the transfer of the property is registered in the state register of immovable property (Civil Code, Articles 178.1 and 139.1).
This means that, legally, simply signing a contract, paying the money or receiving the keys is not enough for ownership to pass. The moment the right passes is tied to registration in the state register.
In practical terms, it is useful for the buyer that:
- the payment schedule and handover terms in the contract are aligned with the registration stage;
- the parties' obligations and deadlines are clearly written in the contract;
- copies of the documents are kept after registration.
In what form is a sale and purchase contract concluded?
Transactions are concluded orally or in writing (simple or notarial). If the Code does not require a special form for a particular type of contract, the contract may be concluded in any form (Civil Code, Articles 329.2 and 406.1).
The key point here is that failure to comply with the form required by law may make the transaction invalid (Civil Code, Article 329.1). It is therefore important to clarify before signing which form is required for the specific transaction.
Buying or selling under a power of attorney: term and form
Sometimes the owner cannot take part in the sale in person and issues a power of attorney to someone else. The Civil Code sets the following rules for powers of attorney (Civil Code, Articles 362.2, 363.1 and 363.3):
| Issue | Rule of law |
|---|---|
| Term of the power of attorney | May be issued for any term |
| If no term is stated | Valid for 1 year |
| If no date is stated | The power of attorney is invalid |
| Disposal of a vehicle | The power of attorney is issued for no more than 1 year |
| For transactions requiring notarial form | The power of attorney must be notarised |
What is a contractual penalty (fine, late-payment penalty) and how is it written into a contract?
A contractual penalty is a sum of money payable when an obligation is not performed or is performed late. The creditor is not required to prove that it suffered a loss. An agreement on a penalty must be made in writing; otherwise it is invalid (Civil Code, Articles 462.1 and 463).
For example, a sale and purchase contract may provide for a penalty if the seller does not hand over the apartment on the agreed date or the buyer delays payment. It will not be possible to claim a penalty on the basis of an oral agreement, because the law requires written form.
If a dispute arises: remember the limitation period
The general limitation period is 10 years, and for contractual claims relating to immovable property it is 6 years (Civil Code, Articles 373.1–373.3). A court applies the limitation period not on its own initiative but only upon an application by a party to the dispute made before the decision is issued (Civil Code, Article 375.2). A short checklist before signing
- Review the documents confirming that the seller owns the property.
- If a representative acts instead of the seller, check the date, term and form of the power of attorney.
- Clearly state in the contract the price, payment procedure, handover date and the parties' obligations.
- If you provide for a penalty in case of delay, be sure to include it in the contract in writing.
- Clarify in advance the form in which the contract must be concluded.
- Keep all documents until registration of ownership in the state register is completed.
Summary
- Ownership of immovable property passes from the moment of registration in the state register.
- The form of the contract matters: failure to comply with the form required by law may make the transaction invalid.
- A power of attorney without a stated term is valid for 1 year, and one without a date is invalid.
- A penalty is valid only with a written agreement, and the creditor does not have to prove a loss.
- The limitation period for contractual claims relating to immovable property is 6 years.
